Provider Marketplace Agreement

1. Independent business

You provide services as an independent business and control your lawful methods, schedule, equipment, and creative judgment, subject to the frozen booking terms. Nothing creates employment, agency, partnership, franchise, fiduciary duty, joint venture, or authority to bind Brigid Forge. You receive no wages, benefits, unemployment coverage, or worker benefits from Brigid Forge. Legal classification controls if it differs from this description.

2. Eligibility and verification

You must be at least 18, have legal capacity to contract, be legally permitted to provide the services, be located in a supported jurisdiction, and be able to complete Stripe onboarding. Herald does not request your country during general account creation. You select the country or region where you or your provider business is legally established when you begin Stripe payout setup. You authorize Herald to verify identity, audience, work samples, references, social presence, sanctions risk, and marketplace activity. Approval and badges are revocable risk determinations, not professional licenses or guarantees.

3. Accurate listings

Your identity, business type, handles, audience metrics, geography, languages, experience, availability, pricing, work samples, services, and claims must be current and supportable. You may not use fake followers, purchased engagement, impersonation, manipulated analytics, undisclosed subcontractors, or misleading portfolio material. Material listing and package changes remain subject to review.

4. Service obligations

Review every request before accepting. Acceptance confirms your availability, legal ability, frozen scope, start method, service length, automatic checkpoint schedule, provider timezone, price, and any project-token chain, token address, receiving wallet, and quantities. Directory readiness is not paid lead time; propose a later start before accepting if you cannot begin when payment or the agreed future date authorizes work. For a project-token booking, Stripe confirmation alone does not authorize work: do not begin until Herald verifies the required initial on-chain token transfer and marks the booking active. After each completed checkpoint, do not begin the next checkpoint’s work until Herald verifies that checkpoint’s required project-token transfer and clears you to continue. Do not report a completion time before confirmed funding or the applicable service period.

Herald creates a checkpoint every three service days and on the final day if sooner. Proof submission opens on the displayed checkpoint date and remains due through the end of that date. Submit at least one work URL, image, or written completion note; you may submit multiple URLs, up to six images, and an optional comment. The client may approve immediately; otherwise payment releases 24 hours after proof unless the client reports a specific objective mismatch. Missing proof or missing required checkpoint token funding pauses the next work period. A valid issue pauses future work while the recorded correction, refund, or resolution path runs. You may not substitute services or delegate material work without client disclosure and consent.

Payment covers completion of objective deliverables, not impressions, views, engagement, clicks, conversions, sales, revenue, return on investment, price movement, token performance, or similar outcomes. Those outcomes are not guaranteed and cannot be used to hold a checkpoint payment. Published service content must remain available indefinitely while you control it and continued publication is lawful, safe, and permitted by the platform.

5. Advertising and Web3 compliance

You are responsible for every publication and endorsement. You must make clear and conspicuous sponsorship disclosures and, where securities laws apply, disclose the nature, source, and amount of compensation. You must not make unsubstantiated claims, promise returns, provide regulated advice without authorization, conceal compensation, manipulate markets, manufacture engagement, or promote an offering unlawfully. Follow the Web3 Promotions and Acceptable Use Policy even if a client requests otherwise.

6. Content, confidentiality, and rights

You represent that deliverables are original or properly licensed and do not violate intellectual-property, publicity, privacy, platform, or contractual rights. You grant the client the rights stated in the frozen booking terms; if no rights are stated, the client receives a perpetual, worldwide, nonexclusive license to use the paid deliverable for the promoted project’s business and marketing. You retain pre-existing tools and portfolio rights, subject to confidential information and third-party rights. Protect nonpublic booking information and personal data and use it only to perform the booking.

7. Stripe and connected accounts

You must maintain an eligible Stripe connected account and separately accept Stripe’s Connected Account Agreement. Stripe controls onboarding, identity and bank-data collection, payout availability, and certain restrictions. You authorize Brigid Forge and Stripe to share information needed to operate payments, compliance, support, and reconciliation.

8. Fees, project tokens, and payouts

Provider Services must have at least $25.00 of total service value. Herald deducts the disclosed 10% provider fee from each approved or released checkpoint, so you keep 90% before separate third-party payout, bank, blockchain-network, wallet-provider, currency-conversion, withholding, or tax charges on work that is actually paid. Acceptance alone creates no fee. For a project-token booking, Stripe payment remains provisional, Herald earns no fee, and no service begins until Herald verifies the required initial project-token transfer. If that transfer is not verified within the displayed 24-hour window, or the client cancels during that window, Herald unwinds the booking and refunds the complete Stripe charge. After funding, Herald earns its 10% fee only on checkpoint value that is approved, released, paid to you, or otherwise finally awarded to you. If unstarted, undelivered, unreleased, or client-blocked work is refunded under Herald’s rules, the allocated Herald provider fee for that refunded work is also returned except where law, a payment-network decision, correction of a duplicate or erroneous payment, fraud, chargeback, or separately incurred third-party cost requires a different result. You receive no compensation for work that is refunded. For eligible Solana or BNB Smart Chain project-token compensation, Herald estimates fair market value (“FMV”) when the client accepts, freezes the gross and 90% provider-net token quantities, and collects the token portion’s corresponding 10% fee from the client in fiat at Checkout on your behalf. The complete fiat Checkout amount is paid upfront; the direct token portion is funded checkpoint by checkpoint. This direct project-token option is limited to the project’s own token and excludes stablecoins, SOL, BNB, wrapped or staked versions, and other general-purpose payment or network assets. Herald may reject an ineligible token.

By accepting project-token terms, you agree that the client’s obligation is to transfer the exact frozen provider-net token quantity—not a future USD value—and you accept that quantity as the complete token portion of compensation regardless of its market price at transfer. You bear the risk that FMV, liquidity, transferability, tax treatment, or realizable value may change after acceptance. A price increase or decrease alone does not change the quantity, entitle either party to a top-up or reduction, permit substitution, change the Herald fee, or create a refund right.

You must provide and control a correct compatible wallet on the agreed chain. The initial token checkpoint must be verified before service begins. After each completed checkpoint, the next checkpoint’s token portion must be verified before you begin its work; until then, that work period and its deadlines remain paused. Each checkpoint requires on-chain verification of the recorded token address, recipient, aggregate frozen net quantity, transaction success, and required confirmation. Herald may automatically discover and record matching transaction identifiers. Multiple unique confirmed transfers may be accumulated for one checkpoint; an underpayment remains pending until confirmed receipts total at least 100% of the frozen checkpoint quantity. You must not falsely claim nonreceipt, provide a wallet you do not control, conceal transfer restrictions, manipulate a quote source, or use a false, altered, unrelated, failed, or reused transaction identifier. Herald cannot reverse or recover a direct token transfer. No interest accrues.

The Brigid Forge Featured Provider product is a separate marketplace-visibility purchase rather than Provider Service work. Its disclosed $50 payment carries no additional Herald fee, activates automatically after confirmed payment, and does not use service proof, approval, review, or checkpoint-payment release.

9. Refunds, reversals, reserves, and setoff

You authorize Herald to delay, withhold, offset, reverse, or recover transfers reasonably connected to a refund, chargeback, duplicate or erroneous payment, fraud, sanctions issue, negative balance, breach, or legal requirement. You remain responsible for amounts attributable to your conduct or services to the extent permitted by law. Herald may offset an amount you owe against later payouts and may require repayment. Released amounts remain subject to payment-network reversals and legal obligations. Herald’s fee is earned and non-refundable only to the extent connected to work approved, released, paid, or finally awarded to you. Stripe, Connect, currency-conversion, bank, wallet-provider, and blockchain-network fees actually incurred are non-refundable except where law or the responsible third party requires otherwise.

10. Taxes

You are responsible for registration, licenses, invoices, taxes, returns, and reporting related to your business and earnings. Provide accurate tax information when requested. Brigid Forge or Stripe may report payments, withhold amounts, or suspend payouts when required. You are not authorized to collect taxes in Brigid Forge’s name.

11. Off-platform arrangements

Herald does not prohibit independent direct arrangements. An arrangement not frozen, funded, messaged, delivered, and resolved through Herald is outside Herald’s booking records, payment workflow, verified-review eligibility, and dispute-support process. Brigid Forge has no responsibility for an off-platform transaction.

Do not pressure, direct, or encourage a client to move a Herald booking off-platform to avoid Herald payment, evidence, review, or dispute processes. Conduct that appears intended to bypass Herald protections may result in account review, suspension, delisting, delayed payout, or termination, depending on the circumstances and evidence.

12. Records and cooperation

Herald may preserve listings, booking terms, messages, evidence, payment records, and moderation history after account closure for disputes, fraud prevention, tax, legal compliance, and claims. You must cooperate promptly and truthfully with verification, payment, chargeback, rights, safety, and legal requests.

13. Reliability, suspension and termination

Herald records on-time, late-cured, missed, excused, client-blocked, and platform-excused delivery outcomes. Public aggregate reliability may appear after sufficient settled work. In its sole reasonable discretion and based on information then available, Herald may immediately and without prior notice pause requests, restrict features, hide a listing, delay or hold eligible payouts where lawful, suspend, delist, or terminate provider access when it believes there may be abuse, fraud, fee avoidance, false proof or transaction evidence, wallet or token misconduct, repeated delay, missed delivery, unexplained controllable content removal, inactivity, inaccurate information, sanctions, illegality, security, payment, safety, marketplace-integrity risk, or another material or repeated violation. When practical and legally permitted, Herald will provide notice after an immediate action and an opportunity to supply relevant information, but need not reveal confidential fraud, legal, security, or risk controls. Active payment, token-transfer, evidence, and continuing-publication obligations survive.

You may pause availability or switch your account to client-only access. A client-only switch immediately hides the provider listing and stops new requests, while open services and existing obligations continue. Herald preserves the provider profile, services, service history, and connected Stripe account, subject to these terms and applicable retention rules, and completes the provider delisting automatically after no open service remains.

14. Provider indemnity

In addition to the Terms, you will defend and indemnify Brigid Forge against third-party claims, regulatory actions, penalties, chargebacks, losses, and reasonable legal costs arising from your services, content, endorsements, taxes, classification claims, subcontractors, infringement, misleading statements, service conduct, or violation of law or this agreement.

15. Incorporated terms

The disclaimers, liability limits, legal-dispute provisions, electronic-consent terms, and general provisions in the Terms of Service apply to this agreement. If booking terms conflict with this agreement, booking terms control only the commercial deliverable; this agreement controls provider-platform obligations.
